MASTER AGREEMENT This Master Agreement ("Agreement") is made between ServiceMagic, Inc. ("Merchant") and [insert name of Partner] ("Partner"). BACKGROUND Partner and Merchant are each enrolled in the The LinkShare Network(tm). Partner and Merchant each desire to establish the general terms and conditions which shall govern advertising and commission arrangements between Partner and Merchant which result from their participation in The LinkShare Network(tm). TERMS AND CONDITIONS In consideration of the promises set forth below, we agree as follows: 1. Offers and Engagements. 1.1. From time to time, Merchant may post on The LinkShare Network(tm) offers to pay to other participants a specified commission in return for certain advertising services leading to a Valid Service Request (defined below) submitted by a consumer on the ServiceMagic website. If such offers receive an identification number from The LinkShare Network(tm) they shall be deemed to be an "Offer" for purposes of this Agreement. The term "Offer" shall also include any counter-offers resulting from an Offer. 1.2. If an Offer made by one party is accepted by the other party in accordance with the Offer's terms via The LinkShare Network(tm), an "Engagement" will have been formed. Each Engagement shall have the same identification number as the original Offer that lead to the Engagement and shall be governed by the terms and conditions of this Agreement. However, in the event of any inconsistency between the terms of the specific Engagement and the terms of this Agreement, the terms of this Agreement shall govern. 1.3. At any time prior to Partner providing a Qualifying Link, Merchant may with or without notice (a) change, suspend or discontinue any aspect of an Offer or an Engagement or (b) remove, alter, or modify any graphic or banner ad submitted by Merchant for an Offer or an Engagement. Partner agrees to promptly implement any request from Merchant to remove, alter or modify any graphic or banner ad submitted by Merchant that is being used by Partner as part of an Engagement. 2. Partner's Responsibilities. 2.1. Partner will link its site to areas within Merchant's site using special URLs specified in the Engagement (the "Required URLs"). Partner may post as many links to the Required URLs and the rest of Merchant's site as it likes on Partner's site. The position, prominence and nature of links on the Partner's site shall comply with any requirements specified in the Engagement and defined herein, but otherwise will be in the discretion of Partner. 2.2. Partner agrees not to make any representations, warranties or other statements concerning Merchant, Merchant's site, any of Merchant's products or services, or Merchant's site policies, except as expressly authorized by the Engagement. 2.3. Partner is responsible for notifying Merchant and The LinkShare Network(tm) of any malfunctioning of the Required URLs or other problems with Partner's participation in the Engagement. Merchant will make commercially reasonable efforts to respond to all concerns upon notification by Partner. 2.4 Additional Partner Responsibilities A. E-mail guidelines – Use of Commercial Bulk Email by Partner is prohibited. Any Partner violating this policy will be terminated immediately and all commissions will be forfeited. In addition, the Partner will indemnify, defend, and hold harmless Merchant, together with all officers, directors, employees, and agents from any third- party claims arising out of or in connection with the services provided by Partner and/or Partner's email distribution partner(s), including, but not limited to, any claims alleging infringement or misappropriation of a third-party's intellectual property rights, claims of unsolicited commercial email (UCE), known as SPAM, or for any breach of any of the representations, warranties, or covenants of Partner and/or its email distribution partner(s). B. Search Guidelines - Partner is prohibited from purchasing trademarked terms from pay-per-click or paid inclusion search engines. Such restrictions include, but are not limited to, the purchase of ServiceMagic, Service Magic, ServiceMagic.com or the use of any other trademarked terms. This restriction on trademarked terms includes all marketing activities such as the purchasing of keywords, copy displayed on Partner's website, or in Partner's HTML tags, including but not limited to, title tags or meta tags. Any Partner violating this policy will be terminated immediately and all commissions will be forfeited. In addition, the Partner will indemnify, defend, and hold harmless Merchant, together with all officers, directors, employees, and agents from any third- party claims arising out of or in connection with the misuse of trademarked terms by Partner. C. Partner Site Guidelines - Improper and unapproved use of Merchant's content (including, but not limited to, pop-ups, tips and articles), source code, logos, images or marks is prohibited. The following copy is prohibited when used in relation to the Merchant's offer: 1. Any copy containing the word "compete". 2. Any copy containing the phrase "Referral Service" 3. Any copy that portrays Partner's site as the official Merchant website. 4. Any copy that does not accurately reflect the current offers provided by Merchant. D. Paid Search Listings Guidelines, Terms and Copy – Partner is prohibited from bidding on cost per click search engines, including, but not limited to, Overture, Findwhat and Google without prior written consent by Merchant. E. Incentive/Loyalty Site Policy - Merchant does not allow incentive and/ or loyalty programs, which encourage traffic and/ or service request submissions to Merchant. Any Partner violating this policy will be subject to immediate termination and all commissions will be forfeit. F. Parasite-ware Policy – Partner is strictly prohibited from using what is commonly referred to as Spy-ware, Scum-ware, Contextual Marketing and Parasite-ware to promote the Merchant's offer. 3. Commissions Merchant agrees to pay Partner the fees that are generated from a valid and Merchant approved "Home Services Service Request" at the individual rates specified in the Engagement and detailed in Exhibit A included herein. A "Home Services Service Request" shall be collectively referred to herein as a "Valid Service Request". For the purposes of this Agreement, a Valid Service Request shall be defined as a registered user of the "ServiceMagic Services", which for the purposes of this agreement shall be defined as all services included within Exhibit A contained herein, who (i) contacts Merchant to use the Merchant's Services via a "Qualifying Link"; (ii) successfully and fully completes a request for Merchant's Services, (iii) the request is not filtered or eliminated from the Merchant's system because the user provided inaccurate or erroneous contact information, it is found to be duplicate in nature, or the consumer did not intend to get matched with a ServiceMagic service professional. Valid Service Requests must include a valid phone number, email address and complete consumer contact information. Requests for any services that are not included in Exhibit A herein shall not be considered a Valid Service Request for payment purposes. 3.2. A "Qualifying Link" is a link from Partner's site to Merchant's site using one of the Required URLs and it is the last link to the Merchant's site that the Customer uses during a Session where a consumer submits a Valid Service Request. A "Session" is the period of time beginning from a Customer's initial contact with Merchant's site via a link from the Partner's site and terminating when the Customer either returns to the Merchant's site via a link from a site other than Partner's site, the consumer visits Merchant's site directly, or the Engagement expires or is terminated. 3.3. Merchant shall have the sole right and responsibility for processing all Valid Service Requests made by Customers. 4. Ownership and Licenses. 4.1. Each party owns and shall retain all right, title and interest in its names, logos, trademarks, service marks, trade dress, copyrights and proprietary technology, including, without limitation, those names, logos, trademarks, service marks, trade dress, copyrights and proprietary technology currently used or which may be developed and/or used by it in the future. 4.2. Merchant grants Partner a revocable, non-exclusive, worldwide license to use, reproduce and transmit the name, logos, trademarks, service marks, and trade dress as designated in the Engagement or during the registration process in The LinkShare Network(tm), on Partner's site solely for the purpose of creating links from Partner's site to Merchant's site during Engagements. Except as expressly set forth in this Agreement or permitted by applicable law, Partner may not copy, distribute, modify, reverse engineer, or create derivative works from the same. Partner may not sublicense, assign or transfer any such licenses for the use of the same, and any attempt at such sublicense, assignment or transfer is void. 4.3. Partner grants Merchant a non-exclusive, worldwide, royalty-free license to use, reproduce and transmit any graphic or banner ad submitted by Partner solely for co- branding purposes or as a return link from Merchant's site to Partner's site. Merchant will remove such graphic or banner ad upon Partner's request or upon termination or expiration of this Agreement. 5. Termination. 5.1. Either party may terminate any Engagement at any time by deleting their acceptance of the Engagement through The LinkShare Network(tm). Termination of an Engagement shall not terminate this Agreement or any other Engagement. 5.2. Either party may immediately terminate this Agreement at any time, for any reason, provided that they provide written notice of such termination to the other party and The LinkShare Network(tm). Termination of this Agreement shall also terminate any outstanding Engagements. However, all rights to payment, causes of action and any provisions which by their terms are intended to survive termination, shall survive termination of this Agreement. 6. Representations. 6.1. Each party represents to the other that (a) it has the authority to enter into this Agreement and sufficient rights to grant any licenses granted hereby, and (b) any material which is provided to the other party and displayed on the other party's site will not (i) infringe on any third party's copyright, patent, trademark, trade secret or other proprietary rights or right of publicity or privacy; (ii) violate any applicable law, statute, ordinance or regulation; (iii) be defamatory or libelous; (iv) be lewd, pornographic or obscene; (v) violate any laws regarding unfair competition, antidiscrimination or false advertising; (vi) promote violence or contain hate speech; or (vii) contain viruses, trojan horses, worms, time bombs, cancelbots or other similar harmful or deleterious programming routines. 6.2 Partner Representations - Partner's Website format, information, content and all related or associated activities engaged in for providing the services hereunder including but not limited to the marketing and use thereof by Partner shall be in full compliance with all applicable federal, state, local and other laws. In addition, Partner will at all times be in full compliance with all applicable Federal, State, local and other laws and regulations that apply to Partner's activities including but not limited to the Fair Credit Reporting Act, the Patriot Act, the Gramm - Leach Bliley Act, and all applicable Do Not Call and anti-spam laws and regulations. You will not engage in any illegal acts or acts of wrongdoing, dishonesty or unethical business practices, including, but not limited to bait and switch tactics, misleading advertising or claims, using or passing on clicks originating from non U.S. ISPs, use of robots, search engine spiders, non-human generated clicks, or any duplicate clicks from the same IP address. Partner also agrees that it will not misrepresent or exaggerate the services offered by or provided by Merchant. The Privacy Notices and Privacy Policies of the Partner Website are consistent with the Federal Trade Commission's procedure or rules, as applicable, and comply with acceptable trade practices for comparable business to Partner and your activities shall at all times be in full compliance with your stated policies, terms and conditions, advertising and disclosures. Partner represents, warrants, covenants and guarantees that all content and links to content are currently, and will be free of content which is libelous, defamatory, obscene, threatening, invasive of privacy or publicity rights, abusive, illegal, that would constitute or encourage a criminal offense, violate the rights of any party, or that would otherwise give rise to liability, or that includes profanity, hate, discrimination, violence, or pornography. Partner shall have the affirmative obligation to routinely check for the above issues and should any violation of the above representation or covenant occur. Partner will use its best efforts to immediately resolve the matter and disable, remove or de-link the violation. In addition, if Partner or any company Partnered with Partner or under common control or ownership with Partner is currently involved in any business that can be considered offensive, including but not limited to pornography, hate, or discrimination, Partner will notify Merchant in writing of such activity or business, including all associated domain names and physical locations prior to entering into this agreement. If Partner or any company Partnered with Partner or under common control or ownership with Partner becomes or intends to become involved in a business that can be considered offensive, including but not limited to pornography, hate, or discrimination, Partner will notify Merchant in writing at least thirty (30) days prior to engaging, or it's Partner engaging in such activity or business, including all associated domain names and physical locations. Merchant reserves the right to immediately terminate this Agreement on or after such notification by Partner. Any breach of the above representations and covenants shall be grounds for immediate termination of this Agreement and a possible action for damages to business and/or reputation. You will indemnify Merchant for any and all damages, costs and expenses relating to any claims of such activities should Merchant be included in any complaints or legal proceedings relating to any such activities by you or your representatives. 6.3. EXCEPT FOR THE REPRESENTATIONS CONTAINED HEREIN, NEITHER PARTY MAKES ANY REPRESENTATIONS OR WARRANTIES TO THE OTHER PARTY, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. 7. Indemnification. A. By Merchant. Merchant agrees to indemnify, defend and hold Partner harmless from and against any and all claims, suits, actions, liabilities, losses, expenses or damages which may hereafter arise, which Partner or its affiliates, directors, officers, agents or employees may sustain due to or arising out of any negligent or intentional act or omission by Merchant, its affiliates, officers, agents, representatives or employees hereunder, or arising out of any act by Merchant, its affiliates, officers, agents, representatives or employees in violation of this Agreement, or in violation of any applicable law or regulation; provided, however, that the indemnification provided for herein shall not provide coverage to Partner for (1) any claim, suit or action, liability or loss, expense or damage that resulted from Partner's negligent or intentional act or omission or that is attributable to a breach by Partner of any of its representations, warranties or obligations under this Agreement or the violation by Partner of any applicable law or regulation, or (2) the amount by which any cost, fee, expense or loss associated with any of the foregoing were increased as a result of the negligent or intentional act, omission or violation by Partner. This provision shall survive termination of the Agreement. B. By Partner. Partner agrees to indemnify, defend and hold Merchant harmless from and against any and all claims, suits, actions, liabilities, losses, expenses or damages which may hereafter arise, which Merchant or its affiliates, directors, officers, agents or employees may sustain due to or arising out of any negligent or intentional act or omission by Partner, its affiliates, officers, agents, representatives or employees or out of any act by Partner, its affiliates, officers, agents, representatives or employees in violation of this Agreement or in violation of any applicable law or regulation; provided, however, that the indemnification provided for herein shall not provide coverage to Merchant for (1) any claim, suit or action, liability or loss, expense or damage that resulted from a negligent or intentional act or omission of Merchant or that is attributable to a breach by Merchant of any of its representations, warranties or obligations pursuant to this Agreement, or (2) the amount by which any cost, fee, expense or loss associated with any of the foregoing were increased as a result of the negligent or intentional act or omission Merchant. This provision shall survive termination of the Agreement. 8. LinkShare Required Provisions. 8.1. Merchant and Partner jointly and severally hereby agree to indemnify, defend, and hold harmless The LinkShare Network(tm) and LinkShare Corporation and its affliates, officers, directors, employees and agents (collectively, "LinkShare") from and against any and all liability, claims, losses, damages, injuries or expenses (including reasonable attorneys' fees) directly or indirectly arising from or relating to any Offer, Engagement, any other matter related to this Agreement or the subject matter hereof any dispute relating thereto. 8.2. The parties agree that LinkShare may rely on any data, notice, instruction or request furnished to LinkShare by either party which is reasonably believed by LinkShare to be genuine and to have been sent or presented by a person reasonably believed by LinkShare to be authorized to act on behalf of one of the parties. In the event of any dispute between the parties, the parties agree that to the extent the parties contact and involve LinkShare, LinkShare may consult with and use counsel of its own choice in connection with such dispute and the reasonable fees and disbursements of LinkShare's counsel shall be within the costs and disbursements covered by the indemnity specified in Section 8.1 above. 8.3. The parties acknowledge and agree that this Agreement and the Engagements are only made possible due to LinkShare and that the parties shall not, for the duration of this Agreement and for the unexpired balance of the Agreement between the Merchant and Linkshare, enter into any advertising, collaborations or other commercial arrangements with each other in connection with their sites on the World Wide Web except via The LinkShare Network(tm). Should the agreement between Merchant and Linkshare terminate as a result of a breach by Linkshare, the parties have the right to immediately enter into a direct advertising or other commercial arrangement with each other outside of the LinkShare Network™. 8.4. Merchant and Partner acknowledge and agree that the nature of the Product is such that in its normal operation it may access and download elements of software data from resources which are external to the computer or device running the Product, such as Product enabled servers. Merchant and Partner acknowledge that LinkShare has not undertaken to provide such external resources or servers and specifically disclaims any representation or warranty as the availability, quality or performance of such resources or whether they may contain any defects which may affect the performance of the Product or Merchant or Partner's computer. LinkShare shall not be responsible for provision of any communications facilities or the costs associated with such communications. 8.5. Merchant and Partner agree that LinkShare is an intended third party beneficiary." 9. Limitation of Liablity. 9.1.IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, SUCH DAMAGES ARISING FROM BREACH OF CONTRACT OR WARRANTY OR FROM NEGLIGENCE OR STRICT LIABILITY), OR FOR INTERUPTED COMMUNICATIONS OR LOSS OF USE THEREOF, LOST BUSINESS, LOST DATA OR LOST PROFITS, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF SUCH PARTY WAS AWARE OR NOTIFIED THAT SUCH DAMAGES COULD RESULT. 9.2. The parties agree that The LinkShare Network(tm) and LinkShare Corporation and its affliates, officers, directors, employees and agents shall not be liable to either party for any direct, indirect, special, exemplary, consequential or incidental damages, even if informed of the possibility of such damages. 10. General. 10.1. Each party shall act as an independent contractor and shall have no authority to obligate or bind the other in any respect. 10.2. The parties agree that The The LinkShare Network(tm) and LinkShare Corporation are intended third party beneficiaries under this Agreement. 10.3. This Agreement has been made in and shall be construed and enforced in accordance with the laws of the state of Merchant's headquarters. Any action to enforce this Agreement shall be brought in the federal or state courts located in that state. If you need to send official correspondence, send it via registered mail to Merchant's headquarters to the attention of Merchant's legal department. 10.4. This Agreement may be agreed to in more than one counterpart, each of which together shall form one and the same instrument. The parties agree that execution may be achieved in any format convenient to the parties. 10.5. The provisions of this Agreement are independent of and separable from each other, and no provision shall be affected or rendered invalid or unenforceable by virtue of the fact that for any reason any other or others of them may be invalid or unenforceable in whole or in part. 10.6 Disclaimer Concerning Tax Effects. Neither party makes any representation nor warranty to the other regarding the effect that this Agreement and the consummation of the transactions contemplated hereby may have upon the foreign, federal, state or local tax liability of the other.
